We strive to accurately describe our services. However, we do not warrant that service descriptions, pricing, or other content on our site is error-free. We reserve the right to correct any errors.

3. Service Agreements

4. Pricing and Payment

All prices are in Nigerian Naira (₦) unless otherwise stated. Prices are subject to change with notice. Service agreements lock in pricing for their duration.

4.2 Payment Terms

• Setup fees: One-time fees are due before work begins
• Monthly fees: Due on the first day of each month
• Late payments: May result in service suspension after 14 days

4.3 Payment Methods

We accept bank transfers, card payments via Paystack, and USSD. All payments are processed securely.

5. Intellectual Property

5.1 Ownership

Upon final payment, you receive full ownership of all deliverables created for your project. This includes source code, designs, and intellectual property.

5.2 Our Intellectual Property

We retain ownership of our proprietary systems, frameworks, and tools used in delivering services. You receive a license to use these as part of your deliverables.

5.3 Client Content

You retain ownership of all content you provide. You grant us a license to use it for the purpose of delivering services.

6. Confidentiality

We treat your business information as confidential. We will not share your data with third parties except as necessary to deliver services or as required by law.

7. Limitation of Liability

• No liability for indirect damages: We are not liable for loss of profits, revenue, or data
• Maximum liability: Limited to the total fees paid for services in the preceding 3 months
• Force majeure: We are not liable for delays caused by events beyond our control

8. Refund Policy

• Setup fees: Non-refundable as they cover work already performed
• Monthly fees: Refundable only if we fail to meet the guarantee terms
• Guarantee: If we don't meet KPIs, we provide a free month of service

9. Term and Termination

• Monthly agreements: Either party may terminate with 30 days written notice
• Project agreements: Terminated upon completion or breach
• Breach: We reserve the right to terminate services for non-payment or breach of terms

10. Client Responsibilities

You agree to:

• Provide timely access to information and decision-makers
• Provide content and materials as needed for project completion
• Review deliverables and provide feedback promptly
• Ensure you have rights to all content you provide

11. Warranties and Disclaimers

• Service performance: We deliver services with reasonable care and skill
• No guarantee of results: While we guarantee specific KPIs as stated, we do not guarantee specific ranking positions or sales figures
• Third-party services: We are not responsible for third-party services (e.g., Google, social media platforms)

12. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your use of our services or violation of these terms.

13. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria. Any disputes will be resolved in the courts of Lagos, Nigeria.

14. Changes to Terms

We may update these terms periodically. We will notify you of significant changes via email or website notice. Continued use of services constitutes acceptance of updated terms.

15. Entire Agreement

These terms, together with any service agreements, constitute the entire agreement between you and OneStack Digital Agency.
